The stock price of Wendy's jumped 15% on Wednesday following a formal proposal to buy the company. Nelson Peltz, a prominent investor, has teamed up with partners to offer 7.35 dollars per share in cash. This bid represents a premium of nearly 19% over the closing price from the previous day.
Wendy's shares have fallen by 25% over the past year, a drop that follows a decline spanning several years. The chain, which Dave Thomas founded in 1969 and named after his daughter, is known for its square burgers and Frosty desserts. Sales at existing locations, which are defined as restaurants open for at least a year, have dropped for more than two years. That downward trend continued through the first two quarters of 2026.
In a letter to the board of directors, Peltz argued that becoming a private company would provide the best outcome for the widest range of stakeholders. He described the current situation as a critical juncture for the business.
Peltz noted that the external environment has become increasingly difficult. He pointed to strong pressures on the American consumer, economic uncertainty, persistent raw material inflation, and intense competition within the quick service restaurant burger category.
Trian Fund Management, the firm associated with Peltz, holds a 16.3% stake in Wendy's according to a regulatory document filed on Wednesday. Peltz has previously invested in companies such as Procter & Gamble, Disney, and DuPont.
Wendy's, which is based in Dublin, Ohio, declined to comment on the offer. The company plans to release its quarterly financial results next week. Analysts currently expect the chain to report earnings of 9 cents per share, with average sales of 531 million dollars.
On the stock market, shares gained 91 cents to reach 7.05 dollars on Wednesday.
